Starting A Business
Get your business off to a solid start with strong legal advice.
Business Start-up Law
Even if you are starting a business that doesn’t involve partners, it pays to have a good business lawyer in your corner. At Cindy Cohen Law we do not just see ourselves as business lawyers, we also see ourselves as trusted business advisors.
We assist you in identifying what will be needed to not only properly structure your business but also to recognize other intangibles that you will need to consider in order to operate a legal and compliant business, maintaining and protecting your legal interests along the way.
Here some examples of the things that you will need to consider when starting a business:
What type of business do you want to start?
The type of business you create will determine your tax rates, obligations, personal liabilities, where you can operate and more. In Ontario you can create a corporation (provincial or federal), a sole proprietorship or a partnership. We work with you to determine the right type of business for you.
Do you have any regulators?
If you are planning to start a business in a regulated industry you will need to ensure that you are compliant. If you are not compliant, opening your doors will be a challenge.
Do you have a Privacy Policy?
In Ontario every business must have a Privacy Policy that outlines why you are collecting private information and what you plan to use the information for.
Do you have client and employee contracts?
It is very important for any business that plans to employ people in Ontario to have employment agreements in place. These agreements must clearly define the terms of employment. There are many different ways that you can structure an individual’s employment and this structure will determine your obligation to the employee and potential liability. How you employ an individual will also determine your tax implications.
Do you have a partnership/shareholder’s agreement?
When starting a business with a partner (partners) it is imperative to organize a legal agreement from the onset, failure to do so is the biggest and most common mistake we see. Starting a business is exciting. No one foresees ending up in litigation with someone they trusted enough to go into business with, however, this happens more often than you know and even with family members. We will sit down with you and your partner(s) and help you devise a fair legal agreement that protects you in the long run.
